This document, when completely and properly filled out and signed, will act as an invoice and confirmation that, for the consideration described, the receipt of which is hereby acknowledged, the Owner hereby grants to _________ the non-exclusive right to use the Licensed Material in the Program.

_________ may record the Licensed Material on film, tape or otherwise for use in the Program and may edit, distribute and exhibit the Program as desired for distribution and exhibition in domestic and foreign cable, satellite and broadcast markets, and domestic and foreign home video markets; provided that the Program does not misrepresent, distort or contradict the clear intention or meaning of the Licensed Material. Owner retains the right to seek appropriate remedies in courts of competent jurisdiction and convenient location if the program you broadcast is in violation of any U.S. law against libel, slander or defamation.

Owner acknowledges and agrees that _________ owns all rights, title and interest in and to the Program and _________ acknowledges and agrees that all rights to and interest in the Licensed Material, except as granted to _________, are specifically retained by Owner.

_________ may not develop or create any screenplay, radio or television program or other script based upon the existence or performances by the Surveillance Camera Players. All rights to the name "Surveillance Camera Players" remain the property of the Owner, the Surveillance Camera Players.

Owner represents and warrants that he owns or possesses all right in and to the Licensed Material, including all copyrights, necessary for the grant of rights to _________ herein and that rights Owner has granted will not conflict or violate any commitment or understanding Owner has, nor infringe upon or violate any rights of, any person or entity.

Owner agrees to indemnify and hold _________ harmless from and against all claims, losses, and costs, including reasonable attorney's fees and expenses, arising out of a breach of the representation and warranty described above; provided that _________ uses the Licensed Material only as allowed herein.
